These Terms of Service constitute a legally binding agreement between you and Devenio, LLC (doing business as Devenio Plus) governing access to and use of the website and related services, including graphic design, web development, and video post-production subscription services.
By subscribing to or using the Services, you agree you have read, understood, and accept being bound by these Terms. If you disagree, you are prohibited from using the Services and must discontinue immediately.
Devenio Plus reserves the right to modify these Terms at any time, with changes reflected in the "Last Updated" date. Continued use signifies acceptance of updated Terms.
Subscribers may submit unlimited creative requests through our project management platform. Requests are processed in the order received and delivered one at a time. Complex projects may be broken into milestones at our discretion.
Most requests are completed within 2-3 business days. More complex work such as full websites or promotional videos may take longer. Estimated timelines are provided at the start of each project.
If a request significantly changes in scope after work has begun, Devenio Plus reserves the right to treat the change as a new request in the queue.
Subscription fees are billed on a recurring monthly basis through Stripe. Payment is due at the time of subscription and on each renewal date thereafter.
All payments are non-refundable. If a payment fails, Devenio Plus may suspend access to services until the outstanding balance is resolved.
Devenio Plus reserves the right to change subscription pricing with 30 days' notice. Existing subscribers will be notified before any price change takes effect.
You may cancel your subscription at any time. Upon cancellation, you retain access to services through the end of your current billing period. No prorated refunds are provided for partial months.
Devenio Plus reserves the right to terminate any subscription at our sole discretion if a client violates these Terms, engages in abusive behavior, or uses the Services for unlawful purposes.
Upon termination, all work in progress will be delivered in its current state. Access to the project management platform and file storage will be revoked after the billing period ends.
Upon delivery and full payment, clients receive full ownership of all custom-created final deliverables, including design files, code, and video assets.
Some deliverables may incorporate third-party stock assets (images, fonts, music). These assets are subject to their respective license agreements. Devenio Plus does not transfer ownership of stock assets.
Devenio Plus retains the right to showcase completed work in our portfolio, website, and marketing materials unless otherwise agreed in writing.
Source files for all projects are available to subscribers with an active subscription. Upon cancellation, source files will be provided for all completed projects delivered during the subscription period.
Clients are responsible for providing timely feedback, accurate content and brand materials, and any necessary approvals. Delays in providing feedback or materials may extend project timelines.
Clients warrant that all content provided for use in creative projects does not infringe on any third-party intellectual property rights.
Both parties agree to treat all proprietary information exchanged during the course of the engagement as confidential. Devenio Plus implements reasonable security measures to protect client data, including encryption, access controls, and secure file storage.
You agree to defend, indemnify, and hold harmless Devenio, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, your breach of these Terms, or your violation of any third-party rights.
Devenio Plus shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
Our total liability under these Terms shall not exceed the amount paid by you in the twelve (12) months preceding the claim.
Creative services are subjective in nature. While we strive for excellence, Devenio Plus does not guarantee specific business outcomes from any deliverable.
Devenio Plus reserves the right to update these Terms at any time. Updated Terms will be indicated by the "Last Updated" date. Continued use of our Services after changes constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of New York. Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
