Agreement to Terms

These Terms of Service constitute a binding agreement between you and Devenio, LLC (operating as Devenio Plus) regarding access to and use of our website and related creative services including graphic design, web development, and video post-production subscriptions. By subscribing or using these services, you agree to be bound by these terms.

Disagreement with these terms prohibits service use. Devenio Plus reserves modification rights, with changes reflected in the "Last Updated" date. Continued use signifies acceptance.

1. Services & Subscriptions

Devenio Plus provides subscription-based creative services with tailored plans. Key operational details include:

  • Request Management: Only one active request permitted simultaneously. Upon completion, clients may submit new requests or revisions.
  • Turnaround Times: Depend on request complexity and queue status, as outlined in subscription plans.
  • Scope Changes: Major modifications beyond agreed deliverables may extend timelines.

2. Payment & Billing

  • Subscriptions bill recurring (monthly, quarterly, or annually) via automatic processing
  • Payments are non-refundable unless explicitly stated
  • Late payments trigger service suspension or termination
  • Accepted methods: Visa, Mastercard, American Express, PayPal, ACH transfers
  • Price changes possible with prior notice

3. Cancellation & Termination

  • Clients may cancel anytime; cancellations take effect at billing cycle end
  • No refunds for unused time; services remain available through paid period
  • Devenio Plus may terminate for non-payment, breach, misuse, or inappropriate conduct
  • Termination results in service access loss

4. Ownership & Usage Rights

  • Final deliverables grant clients full usage rights
  • Stock Assets: Images included in subscriptions; video footage requires additional purchase
  • Third-party licenses subject to original provider terms; clients ensure compliance
  • Portfolio usage permitted for promotional, training, and case study purposes unless otherwise agreed
  • Source files remain Devenio Plus property; additional fees may apply for access

5. Client Responsibilities

  • Timely provision of assets, approvals, and feedback required
  • Clients must possess legal rights to third-party content provided
  • Client-caused delays impact project timelines
  • Clients agree to indemnify and hold Devenio Plus harmless from any claims related to intellectual property violations

6. Confidentiality & Data Security

Devenio Plus respects client confidentiality but acknowledges that no digital system is completely immune to security risks. Reasonable security measures are applied; absolute protection is not guaranteed.

7. Indemnification

Clients defend and indemnify Devenio Plus from claims arising from:

  • Service misuse violating terms or applicable law
  • Third-party intellectual property infringement allegations
  • Unauthorized modification or distribution of deliverables
  • Failure to obtain necessary content rights

8. Limitation of Liability

  • No responsibility for indirect, incidental, or consequential damages
  • Liability capped at prior month subscription amount
  • No guarantees regarding business outcomes, performance metrics, or financial results from creative services

Clients acknowledge that results may vary and that Devenio Plus shall not be held liable for any perceived lack of success associated with the use of our deliverables.

9. Changes to Terms

Devenio Plus reserves unilateral modification rights. Continued use constitutes acceptance.

10. Governing Law & Dispute Resolution

  • Governed by New York law; exclusive jurisdiction in New York courts
  • Disputes first require 30-day informal resolution attempts
  • Unresolved disputes proceed to binding arbitration under American Arbitration Association rules, conducted in New York

11. California Users and Residents
